Terms & Conditions
The general terms for using this website, booking a discovery call, accessing the client portal, and working with Decoded Wireless.
The short version: Decoded Wireless provides independent wireless advisory and operational support. The scope, fees, responsibilities, and timing for paid work are defined in writing. Carrier pricing, eligibility, processing, and outcomes remain controlled by third parties, so estimates and timelines are not guarantees.
1. Agreement and priority of documents
These Terms & Conditions (“Terms”) govern use of decodedwireless.com, discovery-call booking, the Decoded Wireless client portal, and services provided by Decoded Wireless LLC (“Decoded Wireless,” “we,” “us,” or “our”). A proposal, statement of work, service agreement, authorization, or other signed engagement document may contain additional terms. If there is a conflict, the signed engagement document controls for that engagement.
2. Our services
Decoded Wireless provides independent business wireless advisory and operational support across six capability areas:
- Wireless Environment Assessment — environment discovery, requirements, roadmap development, and decision support.
- Cost & Account Optimization — billing review, account governance, optimization, issue tracking, and reporting.
- Carrier Strategy & Coordination — carrier communication, escalation support, quote and proposal review, and authorized change coordination.
- Device Lifecycle Management — device lifecycle, employee onboarding and offboarding, refresh support, inventory, and operational coordination.
- Wireless Governance — governance, standards, roles, workflows, documentation, and repeatable operating procedures.
- Managed Wireless — ongoing oversight, coordination, monitoring, reporting, and wireless operations support.
Services may be delivered through an assessment, a focused project, or ongoing advisory, as stated in the applicable proposal or agreement.
3. Independent status
Decoded Wireless is not affiliated with, endorsed by, or an agent of any wireless carrier or device manufacturer, and we do not accept carrier commissions for our recommendations. Carrier and manufacturer names and trademarks belong to their respective owners.
4. Discovery calls and engagement formation
Submitting a form, requesting an assessment, or booking a discovery call does not create a paid consulting engagement or obligate either party to proceed. 15-minute discovery calls are for initial discovery and fit assessment and are offered at no cost. A paid assessment begins only after the parties approve scope and price, execute the applicable services agreement and statement of work, and Decoded Wireless verifies the required payment or deposit.
5. Scope, fees, and payment
Assessment scope and pricing are established in writing from the documented wireless environment, line volume, locations, carriers, account structure, information readiness, and actual additional assessment work. A limited Account Review for 1–4 wireless lines is $295. Wireless Environment Assessments start at $750 for 5–15 lines, with larger or more complex environments individually scoped. Unless the signed agreement provides otherwise, professional-service fees of $1,000 or less are paid before work begins; larger one-time engagements require a 50% deposit after signing, with the remaining 50% invoiced upon delivery and due upon receipt. Eligible service discounts are established in the applicable proposal; no discount is automatically promised by line count.
For a WEA, “Delivery” occurs when all required internal quality gates have passed, the final approved package is made available through the client portal or another agreed electronic method, written notice is issued to the designated Client Approver, and the delivery timestamp and document version are recorded. A review meeting is included but is not a condition of Delivery. The client may report a material omission from the statement of work within five business days. The signed agreement controls if it states different or additional terms.
Our fees cover Decoded Wireless services only unless the agreement says otherwise. Carrier charges, devices, taxes, activation fees, installment balances, termination charges, travel, and third-party products or services remain the client’s responsibility.
6. Client responsibilities
- Provide complete, accurate, and timely information and identify an authorized decision-maker
- Review discoveries, assumptions, recommendations, and approval requests within agreed timeframes
- Maintain appropriate account authority and complete identity verification or carrier-controlled steps when required
- Back up device and business data before migrations, transfers, resets, or device work
- Protect portal access and promptly report suspected unauthorized activity
- Pay carrier, manufacturer, and other third-party charges directly unless agreed otherwise in writing
7. Authorization and approvals
We act only within the authority documented for an engagement. Some carrier actions can be completed only by the account owner, Billing Responsible Party, or another authorized client representative. In those cases, we may prepare the request and guide the authorized person through completion. Portal approvals, written email approvals, and signed authorizations may be retained as part of the engagement audit trail.
8. Client portal
Portal access is limited to approved users and may be assigned by organization, role, and engagement. Users must provide accurate registration information, protect their login method, use the portal only for legitimate business purposes, and avoid uploading unlawful content, malicious code, or information they are not authorized to disclose. We may suspend access when reasonably necessary to protect a client, the portal, or Decoded Wireless.
9. Estimates, recommendations, and no guarantee
Recommendations and estimated savings are based on information available at the time, stated assumptions, and then-current carrier terms. Actual savings, credits, eligibility, coverage, performance, pricing, and business outcomes are not guaranteed. The client remains responsible for final business decisions and for verifying material assumptions before approval.
10. Third-party control and service availability
Carriers, manufacturers, identity providers, and other third parties control their own systems, pricing, promotions, credit decisions, coverage, inventory, security requirements, porting, order processing, and timelines. We will coordinate and advocate for the client within the agreed scope, but we are not responsible for third-party decisions, outages, delays, errors, policy changes, or performance outside our reasonable control.
11. Devices, migrations, and business continuity
Device changes, data transfers, number ports, migrations, and account changes can involve interruption or loss risk. Clients must maintain current backups, identify business-critical lines and applications, and follow readiness instructions. We use reasonable care but cannot guarantee uninterrupted service, complete third-party data transfer, or defect-free devices and carrier systems.
12. Confidentiality and privacy
We use client information to provide authorized services and operate the engagement. We do not sell client information or use it to represent a carrier. Additional details appear in our Privacy Policy. Any signed confidentiality or data-handling agreement controls if it provides additional protection.
13. Intellectual property and deliverables
Decoded Wireless retains ownership of its pre-existing methods, templates, tools, branding, website content, and general know-how. After payment of applicable fees, the client may use final engagement deliverables internally for its business purposes. Unless agreed in writing, deliverables may not be resold, publicly distributed, or represented as the client’s proprietary consulting methodology.
14. No legal, tax, accounting, or security advice
Our services are limited to business wireless advisory and related operations. We do not provide legal, tax, accounting, insurance, or cybersecurity advice. References to policy, privacy, accessibility, security, or compliance are operational observations and do not replace advice from qualified professionals.
15. Disclaimers and limitation of liability
To the fullest extent permitted by law, the website and services are provided without warranties not expressly stated in a signed agreement. Decoded Wireless is not liable for indirect, incidental, special, exemplary, or consequential damages, lost profits, lost data, or losses caused by third-party systems or matters outside our reasonable control. To the fullest extent permitted by law, our total liability arising from a specific engagement will not exceed the fees paid to Decoded Wireless for the service giving rise to the claim. Nothing in these Terms limits liability that cannot lawfully be limited.
16. Suspension and termination
Either party may end an engagement as provided in its agreement. We may pause work or portal access for nonpayment, security concerns, lack of required authorization, unlawful activity, abusive conduct, or a material breach. The client remains responsible for fees and approved expenses incurred through the effective termination date.
17. Electronic communications
By submitting contact information or using the portal, you agree to receive service-related communications such as booking confirmations, calendar invitations, approval requests, security notices, and engagement updates. Marketing communications, if any, may be declined without affecting service-related messages.
18. Governing law and severability
These Terms are governed by the laws of the State of Texas, without regard to conflict-of-laws principles. If a provision is found unenforceable, the remaining provisions remain in effect to the extent permitted by law.
19. Changes and contact
We may update these Terms as our services or legal obligations change. The effective date above identifies the current version. Questions may be sent to info@decodedwireless.com or 512-762-8272.
